Renzenbrink & Partner advises Klingel medical metal on the takeover of the Ruetschi Group

November 2021Renzenbrink & Partner has advised Klingel-medical metal Group (“Klingel medical metal”), a portfolio company of IK VIII Fund (“IK”), on the acquisition of Ruetschi Technology Holding AG (“Ruetschi”). Ruetschi is a leading Swiss full-service provider of sterile packaged disposable medical devices with a special focus on orthopaedics and spine surgery. The companies of the Ruetschi Group are headquartered in Muntelier, Switzerland. Ruetschi operates further sites in Yverdon-les-Bains (Switzerland) and Renquishausen (Germany) and employs more than 200 people.
With the acquisition of Ruetschi, Klingel medical metal, with over 600 employees worldwide, is adding further production capacities and leading MedTech customers to its established platform in Switzerland.
Renzenbrink & Partner advised IK on the acquisition of Klingel medical metal in 2018 and was subsequently in charge of two add-on acquisitions in Switzerland (Gehring Cut AG and Bächler Feintech AG) and one German add-on (Puracon GmbH).

Kotyrba (Tax/PE) as well as counsel Christopher Blumenthal and associates Dr. Alexander Haunschild (both Corporate/PE) and Marie Eikmeier (Tax/PE) in connection with all German corporate and tax aspects of the transaction (including a re-investment). Wenger & Vieli AG advised Klingel medical metal on all corporate and tax aspects of the transaction under Swiss law.
