Renzenbrink & Partner advises Ergon Capital Partners III S.A. on the transfer of the svt group into a so-called continuation fund

March 2021Ergon Capital (“Ergon”) has launched the Ergon svt Long Term Value Fund SCSp (“Continuation Fund”), a dedicated single-asset fund managed by Ergon, to acquire the svt Group (“svt”) from Ergon Capital Partners III S.A. (“ECP III”) and to further support the growth of svt. Pantheon Group, a leading global private equity investor, is the lead investor in the Continuation Fund.
svt, headquartered in Seevetal near Hamburg, is the leading European provider of passive fire protection products, installation and refurbishment services and generates annual sales of around EUR 200 million and EBITDA of over EUR 30 million with more than 900 employees worldwide.
Renzenbrink & Partner acted as lead legal and tax advisor to ECP III on the SPA and the re-investments as well as on all German law aspects of this complex transaction. Kirkland & Ellis, London, and Arendt & Medernach, Luxembourg, advised on the structuring and placement of the Continuation Fund. Pantheon was advised by Debevoise & Plimpton, London/ New York.
