Renzenbrink & Partner and Orrick advised the shareholders of LANCOM

The shareholders of LANCOM Holding GmbH reached an agreement with
Rohde & Schwarz-Group on its participation in LANCOM Holding GmbH. The
remaining shares in LANCOM will be held by founder and director Ralf
Koenzen, director Stefan Herrlich and founding shareholder Carl-Thomas
Epping. The acquisition is subject to the approval by the anti-trust authorities.

LANCOM Holding GmbH is the sole shareholder of the LANCOM Systems
GmbH, the leading producer of network solutions such as routers, gateways and
WLAN solutions in Germany for business customers and the public hand. The
firm is sitting in Würselen close to Aachen and is working for national and
international small and middle-class businesses, public authorities as well as
large corporates. In 2015 LANCOM won the well-known „Sustained Excellence
Award“ by Deloitte for long-term growth and sustainable entrepreneurial spirit.

The electronic group Rohde & Schwarz is a provider of test and measurement
equipment, broadcast and media equipment, IT security, secure communications
and radiomonitoring as well as radiolocation equipment and is leading it that
field of expertise worldwide. The firm has about 9.900 employees and generated
a revenue of 1.83 Mio. Euro during the financial year 2014/15 (July till June).

The shareholders of the LANCOM Holding GmbH were advised by
Renzenbrink & Partner and Orrick, Herrington & Sutcliffe LLP.
