Renzenbrink & Partner advised Acture on the acquisition of Evermood GmbH.

Evermood GmbH (“Evermood”), based in Berlin, develops and distributes cloud-based B2B total welfare management solutions. Customers of Evermood currently include Mercedes, AXA, Hornbach, the German Red Cross and the cities of Aachen and Potsdam.

Acture was founded in the Netherlands in 2008 among others by CEO Maudie Derks and has been a portfolio company of the IK SC II fund advised by IK Partners since 2020 with approximately 220 employees. Acture offers Dutch companies specialised outsourced services and insurance products to manage sickness and incapacity cases in their respective workforces, thereby reducing employer costs in the complex and evolving Dutch social security system.

After four acquisitions in the Netherlands, Evermood is the first acquisition in Germany as a growth market identified by Acture for high quality service offerings for employers to support their employees and to offer them professional personal development opportunities.

Renzenbrink & Partner advised Acture with a team consisting of Dr Niels Maier, LL.M. (Partner/Private Equity), Dr Alexander Haunschild (Senior Associate/Private Equity), Dr Andreas Sandberger (Attorney/Private Equity) as well as Marc Holger Kotyrba (Partner/Tax) and Dr Toufic Schilling (Senior Associate/Tax) in connection with all legal aspects of the acquisition of Evermood as well as a reinvestment of the Evermood founders in Acture and in cooperation for regulatory aspects with NOVACOS (Maria Heil, Guram Gobechia and Christian Binder).
