Renzenbrink & Partner advises DBAG on the acquisition of UNITY AG

Renzenbrink & Partner advises Deutsche Beteiligungs AG (DBAG) on the acquisition of a controlling stake in UNITY Aktiengesellschaft für Unternehmensführung und Informationstechnologie (UNITY AG) by a fund advised by DBAG. The previous sole shareholder, UNITY Innovation Alliance AG, which in turn is owned by its founders and employees, will remain invested to almost the same economic extent by way of a reverse participation. In addition, UNITY AG employees will also invest personally in UNITY AG as part of the transaction. The transaction is still subject to merger control clearance.

UNITY AG is a leading consulting firm specializing in technology consulting and digitalization processes. The company is listed in the renowned Lünendonk® List 2024 as one of the 14 most important management consultancies in Germany. From 14 locations, the almost 400 consultants generated a total output of more than 72 million euros in 2023. In recent years, the company has grown by an average of 13% per year and is therefore well above the overall market in Germany (around 7%).

The listed DBAG is one of the most renowned private equity companies in Germany. As an investor and fund advisor, DBAG’s investment focus is traditionally on medium-sized companies with a focus on well-positioned companies with development potential, primarily in the DACH region. As a management consultancy, UNITY AG fits seamlessly into DBAG’s IT services and software portfolio.

Renzenbrink & Partner was mandated by DBAG for the first time and advises on all corporate law aspects of the acquisition, the seller’s re-investment and the employee participation.
