Renzenbrink & Partner advises the shareholders of ŽELOS on the sale to VTG

Renzenbrink & Partner advises the shareholders of the Slovakian company
ŽELOS, spol. s r.o. on the sale to the listed VTG AG.

With the acquisition of Želos, VTG AG will take over a maintenance plant in Trnava,
Slovakia. The plant, founded in 1994, specializes in the repair, maintenance,
modernization and reconstruction of rail freight cars. Through this acquisition, the
facility has become a fully-owned subsidiary of VTG, though the local management and
the Želos name will remain unchanged. The transaction has already been closed.

Headquartered in Hamburg, VTG Aktiengesellschaft is a leading international wagon hire
and rail logistics company with more than 94,000 railcars on its books at the current
time. In addition to Želos and a large network of partner workshops throughout Europe,
VTG owns three other wagon repair facilities.

Renzenbrink & Partner advised the shareholders of ŽELOS on all legal aspects of the
transaction. The team consisted of partner Dr Andreas Stoll (Corporate/M&A), partner
Marc H. Kotyrba (Tax) and associate Martin Aisenbrey (Corporate/M&A).
