Renzenbrink & Partner advised svt Group, an Ergon portfolio company, on the acquisition of PFP Group SAS (“Odice”)

The svt group, headquartered in Seevetal near Hamburg, Germany, is a leading supplier of passive fire protection products as well as industrial passive fire protection systems and provider of damage restoration services.

Odice is a leading French manufacturer of passive fire protection products with a focus on intumescent seals and thermal insulation materials as used for fire preventive doors. Odice, headquartered in Marly, France, includes Norwegian subsidiary Securo AS which focuses on passive fire protection solutions for ventilated facades. With the addition of Odice, svt group now employs a workforce of more than 870 employees and generates a turnover of approx. EUR 200m in over 60 countries worldwide.

Renzenbrink & Partner has a long-term client relationship with svt group. The acquisition of Odice marks the third add-on acquisition of svt group in 2020 and the sixth add-on acquisition within the last four years, all of which with Renzenbrink & Partner as lead (German) legal advisor of svt Group.

For the acquisition of Odice, Renzenbrink & Partner advised svt group on all German-law related aspects (legal and tax) of a complex re-investment structure for the Odice sellers and the implementation of a new management incentive scheme for selected Odice managers and orchestrated the involved local legal advisors for svt Group. The team was led by Dr Niels Maier, LL.M. and comprised Dr Ulf Renzenbrink, LL.M.  (Corporate/M&A), Marc Holger Kotyrba (Tax), Nicole Militzer (Tax) and Martin Aisenbrey (Corporate/M&A).
