Renzenbrink & Partner advises on the sale of gpi green partners international to Evergreen Garden Care

As part of its business expansion, UK-based Evergreen Garden Care Group has acquired all shares in gpi green partners international GmbH & Co. KG. The transaction also includes gpi’s shareholdings in GPL Green Partners Logistics GmbH, a raw materials logistics company, and in NFI NorthFertilizerIndustry GmbH & Co. KG, a supplier of organic and organic-mineral fertiliser mixtures.

gpi green partners international, based in Gladbeck, is one of the leading companies in the production and marketing of fertilisers as well as plant protection products for hobby gardeners via DIY stores, garden centres and specialist trade. The Company acts as a private label producer for big garden centres and DIY stores and sells products under its three own brands Gärtner’s, Quadro and Extra%.

Evergreen Garden Care was established in 2017 by the carve-out acquisition of the international business of US based Scott’s Miracle-Gro Company by Exponent Private Equity and is the leading garden care company in Europe and Australasia. The company is already established in the market with the labels Substral, Roundup, Nexa Lotte, Substral Naturen and Substral Celaflor.

Following issuance of merger control clearance, the transaction has been closed on 31 August 2021. Renzenbrink & Partner has comprehensively advised the shareholders of gpi green partners international on all legal and tax matters of the sale. The team comprised the partners Dr Dennis Schlottmann (Corporate/M&A) and Marc H. Kotyrba (Tax) as well as senior associate Dr Alexander Haunschild (Corporate/M&A).
