Renzenbrink & Partner advises Neumüller CEWE COLOR Stiftung on foundation governance

Neumüller CEWE COLOR Stiftung manages the operations of the S-DAX listed CEWE Stiftung & Co. KGaA in its capacity as general partner.

In November 2022, the executive board of Neumüller CEWE COLOR Stiftung gave public notice that it questions the validity of the resolution prolonging the term of Dr. Rolf Hollander, the chairman of the advisory board (Kuratorium) and prior long-standing chairman of the executive board, and is obligated to initiate a legal review of the validity of such resolution. At the turn of the year and following a thorough expert review, the executive board announced that the resolutions passed in this context are void and the disputed membership in the advisory board had ended by year-end 2022. With notice dated 1 March 2023, the former chairman of the advisory board himself declared the end of his membership on the advisory board.
